Before getting into that, just wanna address some points first. Since this movie will be loosely base on Civil War comics but not entirely, it's NOT a sure thing that someone HAS TO take on Spider-Man's role in the comics.
BUT, given the nature of the story, it's almost silly not to assume that someone will serve as a middle-ground person, switch sides and has significant impact on the plot. Giving us audience a better insight into each side. So that's basically Spider-Man's function in the comics.
That being said, whoever this character might be, he/she doesn't necessary have to go through the exactly same experience as Spider-Man did in the comics (*Plus, with the new Civil War series coming out, Cap 3's story board could end up lending toward to that new version).

1) Black Panther?
He was the first character announced to be in Civil War aside Captain America and Iron Man. On the Phase 3 announcement, it seems like Marvel was suggesting Black Panther could take over Peter Parker's role.
Here's some reasons I'm not too keen to have him serve as the middle guy. He's a new character, we know not much about him and he has not much history with The Avengers in MCU (Ya I know he's being teased in Age of Ultron but even so), So to bring him on and put him right in the middle of the conflict straight away.......even if there's a logically explanation, it just lack of that emotion complex. And isn't this what the theme should be about? Two of our favorite Avengers are having a war with each other. who should we support? which side should we take? Black Panther just wouldn't deliver that complex.
Beside, as the actor himself said on stage "Black Panther is kinda his own guy", so that kinda reduced some probability.
2) Black Widow?
Now, this one makes the most sense. She has history with both Tony and Steve. She is trusted by Cap and probably Stark too (as she addressed that out in The Avengers), so when a fight break out, both of them would want her to be on their sides. This is how she can deliver the complex.
Steve Roger is a friend and a true hero, his motive is no need to be questioned, he is justice, for dozen of reasons she should be on his side. But what if she thinks Tony Stark is right? What if, on whatever they are fighting about, she agrees Iron Man's way is the right way?
Given her past, we know she wants to wipe out all the blood from the past, to be a good person and do good things for the society. But what if these two things are contradicted? What if her has to choose between justice and the right thing? Which way would she think is the right way for her redemption?
Now that's why I think she would be the right choice.
3) Winter Soldier?
This is the one I want the most. Before they decided to go for Civil War, Captain America 3 would most likely be a continuation of The Winter Soldier story line. Bucky would continue to play a major part in the film, we would see how he struggles and eventually come around and return to Steve's side.
Now with the Civil War story breaking out, the film should be heavily focus on the rivalry between Iron Man and Cap. it's hard to imagine Cap can find the time to track down his old pal, find him back his humanity and bring him home, while he's so busy fighting another high-tech superhero.
But, what if Bucky is brought to him instead? What if Tony Stark somehow got him on his side and use him against Cap? Now that's interesting, and kinda convenient too, now Captain America can fight Iron Man AND try to "reboot" his brain-washed pal at the same time.....well, by fighting him and convincing him all at once on the battlefield most likely.
And speaking of replacing Spider-Man, Iron Man can do the same thing to Winter Soldier, build him a high tech new suit and all. How cool would it be for Tony to build him a metal Captain America suit (for some reason) to battle, then, at the end when Steve was killed (Bucky should went back to Cap's side by then), Winter Soldier just step up to be the new Captain America, since he already have the gear anyway.....now I'm heading into straight up fantasy here.
** I'm not saying Cap will die in this, but I would prefer he does, and got brought back for Infinity War part II. There are lots of benefit in this: 1) This explains why Steve Roger only appears in one the the Infinity War movies, IF Evans doesn't renew his contract. 2) It's a Civil War! This event should induce some serious impact for MCU, killing Cap is the prefect+logical result 3) Prevent another civil war, you don't want another pal to die for internal conflict again, right Avengers?

I know falcon is in this film too, but c'mon, he's just nowhere near to be a candidate, he's just straight up Captain America's pal. Hawkeye could be in it, but same thing here, not interesting enough nor having enough reasons to be the middle guy. Same thing goes for the Twins, Vision etc
Thor? HULK?
Well, I think Chris Hammsworth would like to take a break from Thor before 2017,18 & 19, so no Thor. Beside, if Thos is in, they might as well call this Avengers 3 instead of Cap 3. As for HULK.....I think there'll be something happen in Ago of Ultron that keep him out of the game for a while (hehe...) ;)
**Also, there could be more than one characters who stand the middle ground/switch sides.....so one scenario does not necessary eliminate another.
